This license agreement (“Agreement”) is entered into between GF-CONSULTING, a company registered under the laws of France, having its registered office at CLAMART, France, hereinafter referred to as “GFC,” and the user (“User”) who agrees to the terms of this Agreement by clicking the “Accept” button when generating, downloading or using the ebook generated on the Encyclo-AI™ Web site (the “Smartbook”).

1. PURPOSE OF THE AGREEMENT

GFC grants the User a non-exclusive, non-transferable, and limited license to use the Smartbook, subject to the terms and conditions set forth below.

2. DEFINITIONS

– Smartbook: Refers to the electronic book downloaded or generated on the Encyclo-AI™ Web site, including all text, graphic, or other content.

– User: Refers to any individual or entity that downloads or uses the Smartbook.

– Derivatives: Refers to any work based on or derived from the Smartbook, including but not limited to adaptations, translations, summaries, or any other creative work inspired by the Smartbook.

3. GRANTED RIGHTS

The User is authorized to:

– Duplicate the Smartbook for personal or internal use, without limitation on the number of copies, provided that the copyright, watermak or any other intellectual property notice on the Smartbook is not removed or altered.

4. USAGE RESTRICTIONS

The User agrees to comply with the following restrictions:

– Prohibition of Sale: The Smartbook may not be sold, rented, or distributed in exchange for any financial compensation.

– Prohibition of Derivatives: The User may not create derivative works based on the Smartbook, whether for personal or commercial use.

– Prohibition of Modification: It is forbidden to modify, adapt, translate, or alter the Smartbook in any way.

5. INTELLECTUAL PROPERTY

The Smartbook and all associated rights, including but not limited to copyrights, trademarks, patents, and trade secrets, remain the exclusive property of GFC. This Agreement does not transfer any intellectual property rights to the User.

6. REVOCATION AND TERMINATION

GFC reserves the right to revoke or terminate this license at any time, with or without cause, upon written notice of 5 days. In the event of a breach of any of the terms of this Agreement by the User, GFC may immediately revoke this license without notice.

7. INDEMNIFICATION

The User agrees to indemnify, defend, and hold harmless GFC, its officers, employees, and agents from any claim, loss, liability, damage, or expense (including reasonable attorney’s fees) arising from the use or misuse of the Smartbook by the User.

8. DISCLAIMER OF WARRANTY

The Smartbook is provided “as is,” without any warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.

9. ASSIGNMENT OF RIGHTS AND USE OF USER-GENERATED CONTENT

The User grants GFC a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use, reproduce, distribute, publicly display, publicly perform, modify, create derivative works, and otherwise exploit any content generated by the User using Encyclo-AI™ Web site services, including but not limited to any Smartbook or other content created or customized by the User.

10. DISPUTE RESOLUTION

In the event of a dispute arising out of or related to this Agreement, the parties agree to attempt to resolve the dispute amicably. In the event of failure, any dispute shall be subject to the exclusive jurisdiction of the French courts located in Paris, France.

11. LIMITATION OF LIABILITY

GFC shall not be liable for any direct, indirect, special, incidental, or consequential damages arising out of the use or inability to use the Smartbook, even if GFC has been advised of the possibility of such damages.

12. GENERAL PROVISIONS

– Governing Law: This Agreement is governed by and construed in accordance with the laws of France.

– Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, proposals, or representations, written or oral, relating to this subject.

– Modification: No modification or amendment of this Agreement shall be valid unless made in writing and signed by both parties.
